Terms of Service Agreement

Effective Date: March 27, 2026

This Terms of Service Agreement (“Agreement”) governs your access to and use of the software, services, and related features made available by Cool Charlie Group (“Cool Charlie Group,” “we,” “us,” or “our”). Cool Charlie Group is a group of developers and is not a company or incorporated entity.

By accessing, installing, using, or otherwise interacting with the software, you agree to be bound by this Agreement. If you do not agree, do not use the software.

1. The Service

We provide software, features, updates, downloads, documentation, and related services (collectively, the “Software”). The Software may be offered free of charge, provided under a paid plan, or made available under another arrangement depending on the terms we provide to you.

2. Eligibility

You may use the Software only if you are legally able to form a binding agreement and comply with this Agreement. If you use the Software on behalf of another person or entity, you represent that you have authority to accept this Agreement on their behalf.

3. License

Subject to your compliance with this Agreement, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the Software for your personal or authorized use, as permitted by the applicable plan or terms provided to you.

If the Software requires an account or access credentials, you are responsible for maintaining the confidentiality of your login information and for all activity that occurs through your account or access.

You must promptly notify us if you believe your account, access credentials, or device has been compromised.

6. Data, Storage, and Backups

You acknowledge and agree that any data stored, entered, uploaded, transmitted, or maintained through the Software may not be secure or encrypted, and may be lost, altered, or become unavailable at any time.

7. Updates and Changes to the Software

We may update, modify, suspend, replace, or discontinue any part of the Software at any time, with or without notice, including features, functionality, support, and availability.

We may also release updates, patches, or new versions, and you may be required to install them to continue using the Software. We are not responsible for any issues caused by delayed, failed, or unsupported updates.

8. Changes to This Agreement

We may update or revise this Agreement at any time. When we do, the updated version will become effective on the date we specify, or when posted if no effective date is stated.

Your continued use of the Software after changes become effective means you accept the revised Agreement. If you do not agree to the updated terms, you must stop using the Software.

9. Paid Software, Fees, and Billing

Some access to the Software may be free, and some access may require payment, depending on the arrangement provided to you.

10. Ownership

We and our licensors retain all rights, title, and interest in and to the Software, including all related intellectual property rights, except for the limited license expressly granted to you in this Agreement.

Any suggestions, feedback, or ideas you provide may be used by us without restriction or compensation, unless prohibited by law.

11. Third-Party Services

The Software may interact with or depend on third-party services, platforms, or content. We are not responsible for third-party services, their availability, their terms, or their actions.

12. Suspension and Termination

We may suspend, limit, or terminate your access to the Software at any time, with or without notice, if we believe you have violated this Agreement, if needed to protect the Software or other users, or for any other reason allowed by law.

Upon termination, your right to use the Software ends immediately, but sections that by their nature should survive will remain in effect.

13. Disclaimer of Warranties

To the fullest extent permitted by law, the Software is provided “as is” and “as available,” without warranties of any kind, express or implied. We disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, and uninterrupted operation.

We do not warrant that the Software will be secure, error-free, uninterrupted, or free from data loss.

14. Limitation of Liability

To the fullest extent permitted by law, Cool Charlie Group and any contributors associated with the Software will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, goodwill, or business interruption, arising out of or related to your use of the Software.

To the fullest extent permitted by law, our total liability for any claim related to the Software will not exceed the amount you paid to use the Software during the period giving rise to the claim, or if you paid nothing, one hundred dollars (or the lowest amount permitted by law), whichever is less applicable under law.

You agree to defend, indemnify, and hold harmless Cool Charlie Group and its contributors from and against claims, liabilities, damages, losses, and expenses arising out of or related to:

16. Governing Law and Disputes

This Agreement will be governed by the laws of the applicable jurisdiction, unless otherwise required by law or specifically stated by us in a separate written notice or plan-specific terms.

Any dispute process, venue, or arbitration terms, if applicable, should be set out in a separate notice or applicable plan terms.

17. Miscellaneous

If any part of this Agreement is found unenforceable, the remaining parts will continue in effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign this Agreement without our written consent, and we may assign it as permitted by law.
